1. Agreement
These Terms & Conditions ("Terms") govern access to and use of Overden websites, trial environments, and paid subscriptions for Overden Field, Overden Commerce, and related offerings (collectively, the "Services") provided by Overden.
By creating an account, starting a trial, or using the Services, you agree to these Terms on behalf of yourself and the business entity you represent. If you do not agree, do not use the Services.
2. The Services
Overden Field is designed for route-based field service teams: leads, dispatch, technician workflows, service contracts, proof of work, and books-related billing support.
Overden Commerce is designed for inventory-led businesses: stock, purchases, POS, invoicing, parties, and deeper books workflows.
Field and Commerce are separate products with separate workspaces and pricing. Features described on our website may differ by plan, region, or product line. We may add, modify, or retire features with reasonable notice where practicable.
3. Accounts and eligibility
You must provide accurate registration information and keep credentials confidential. You are responsible for all activity under your account, including actions taken by employees, contractors, and agents you invite.
You represent that you have authority to bind your organization to these Terms and that your use complies with applicable laws, including regulations governing the services your business performs in the field.
We may suspend or refuse accounts that present fraud risk, abuse platform limits, or violate these Terms.
4. Subscription, trials, and billing
Paid plans are billed in advance according to the pricing shown at signup or in your order form. Fees are non-refundable except where required by law or explicitly stated in writing.
Free trials, if offered, convert to paid subscriptions unless cancelled before the trial ends. Trial workspaces may contain sample data and are not intended for production-critical operations without migration planning.
You authorize us and our payment processors to charge applicable taxes, renewal fees, and add-ons. Failure to pay may result in suspension after reasonable notice.
Seat limits, storage thresholds, and feature entitlements depend on your selected plan. Exceeding limits may require an upgrade or incur overage charges if disclosed in your plan terms.
5. Customer data and license
You retain ownership of data you submit to the Services. You grant Overden a limited license to host, process, transmit, and display that data solely to provide and improve the Services, prevent abuse, and comply with law.
You are responsible for obtaining any consents needed from your customers, employees, and vendors whose information you upload, including for SMS, email, WhatsApp, or other messaging integrations you configure.
You must not upload unlawful, infringing, or malicious content, or use the Services to harass individuals or send unsolicited bulk messages in violation of anti-spam laws.
6. Acceptable use
You may not reverse engineer the Services, probe systems without authorization, interfere with other users, resell access except as permitted, or use the platform to store unrelated personal file archives.
Automated scraping of the marketing site or authenticated APIs outside documented limits is prohibited. API access, if provided, is subject to rate limits and separate documentation.
We may investigate suspected violations and remove content or suspend access to protect the platform and other customers.
7. Service availability and support
We strive for high availability but do not guarantee uninterrupted access. Scheduled maintenance, third-party outages, and force majeure events may cause temporary downtime.
Support channels and response targets depend on your plan. Critical security issues should be reported promptly to hello@overden.com.
The Services are provided on an "as is" and "as available" basis to the maximum extent permitted by law, except where mandatory consumer protections apply.
8. Disclaimers
Overden is business operations software, not legal, tax, accounting, or compliance advice. You are responsible for how you bill customers, record chemical applications, manage inventory valuations, and meet industry-specific regulations.
Route planning, map views, and scheduling tools assist coordination but do not replace professional judgment, licensing requirements, or safety procedures in the field.
Integrations with third-party products are governed by those providers' terms. We are not liable for failures caused by external systems outside our reasonable control.
9. Limitation of liability
To the fullest extent permitted by law, Overden and its affiliates will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or business opportunities.
Our aggregate liability arising out of or related to the Services in any twelve-month period is limited to the fees you paid to Overden for the Services during that period, except where liability cannot be limited under applicable law.
10. Indemnification
You agree to defend and indemnify Overden against claims arising from your content, your business operations, your breach of these Terms, or your violation of law, except to the extent caused by Overden's gross negligence or willful misconduct.
11. Termination
You may cancel at any time through account settings or by contacting support. Cancellation stops future billing but does not automatically delete historical records immediately.
Upon termination, you may export eligible data during the retention window described in our Privacy Policy. After that period, we may delete workspace data from active systems and backups according to our schedule.
We may terminate or suspend access for material breach, non-payment, or risks to platform security, with notice when reasonable.
12. Governing law and disputes
These Terms are governed by the laws of India, without regard to conflict-of-law principles, except where mandatory local consumer protections require otherwise.
Parties will attempt to resolve disputes informally before pursuing formal proceedings. Courts in Bengaluru, Karnataka shall have exclusive jurisdiction for matters not subject to mandatory arbitration, unless applicable law provides you non-waivable rights in your home jurisdiction.
13. Changes and contact
We may update these Terms by posting a revised version on this page. Material changes will be communicated via email or in-product notice when appropriate. Continued use after the effective date constitutes acceptance.
